Terms & Conditions

These terms govern the services provided by Fox Leads LTD and the use of this website.

1. About us and these terms

Fox Leads LTD (“Fox Leads”, “we”, “us”) is a company registered in England and Wales under company number [COMPANY REGISTRATION NUMBER], with its address at 124 City Road, London, EC1 2NV, United Kingdom. VAT number: [VAT NUMBER — or remove if not VAT-registered].

These terms apply to every engagement between Fox Leads and a client (“you”), together with the proposal, statement of work or order form agreed for that engagement (the “Proposal”). If there is a conflict, the Proposal takes priority over these terms.

Our services are intended for businesses. By engaging us, you confirm that you are acting for purposes relating to your trade, business or profession.

Review before publication: If you may contract with consumers (including some sole traders), additional consumer-law terms — such as cancellation rights for distance contracts — may be required.

2. Our services

We provide digital marketing services, which may include marketing strategy, brand and visual identity development, advertising creative, campaign set-up, campaign management and optimisation, lead generation, landing pages and conversion funnels, conversion tracking, A/B testing, performance analysis, reporting and recommendations. The exact scope of each engagement is set out in the Proposal.

We will perform the services with reasonable skill and care. Work outside the agreed scope may be quoted separately.

3. Your responsibilities

You agree to:

  • provide accurate information, timely feedback and approvals;
  • give us the access we reasonably need to advertising accounts, websites, analytics and other systems;
  • ensure that your products, services, offers and claims are lawful, accurate and compliant with applicable advertising rules (including the CAP Code) and the policies of each advertising platform;
  • maintain a valid payment method on your advertising accounts and fund the agreed advertising budget;
  • comply with data protection law in relation to leads and customer data you receive, including having an appropriate privacy notice;
  • respond to and follow up the leads generated in a timely way.

We are not responsible for delays or underperformance caused by a failure to meet these responsibilities.

4. Advertising spend

Your advertising budget (“Ad Spend”) is paid by you directly to the advertising platforms, separately from our fees. Ad Spend is not revenue of Fox Leads. You remain responsible for all Ad Spend incurred on your accounts within the budgets you approve.

We will manage campaigns within the budget agreed with you. Platforms may occasionally spend slightly above daily budgets in line with their own rules; such variations are governed by the platform's terms.

Review before publication: If Fox Leads ever pays Ad Spend on a client's behalf and re-invoices it, this clause and the Refund Policy must be adapted.

5. Management fees

Our management fee is 10% of your monthly Ad Spend on the campaigns we manage. For example, monthly Ad Spend of £10,000 results in a management fee of £1,000.

The fee is calculated on [CALCULATION BASIS — e.g. actual Ad Spend reported by the platforms for the calendar month / the agreed monthly budget]. Any minimum monthly fee, set-up fee or additional project fees will be stated in the Proposal: [MINIMUM FEE / SET-UP FEE, IF ANY].

Fees are exclusive of VAT, which will be added where applicable.

6. Payment terms

  • We invoice [INVOICING FREQUENCY AND TIMING — e.g. monthly in arrears].
  • Invoices are payable within [PAYMENT TERMS — e.g. 14] days of the invoice date by [PAYMENT METHODS].
  • If an invoice is not paid on time, we may charge interest and compensation as permitted under the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend the services under section 13 after giving you notice.

7. Campaign performance — no guaranteed results

Advertising results depend on many factors outside our control, including market conditions, competition, platform algorithms and policies, your offer, pricing, website and sales process. While we work to improve performance continuously, we do not guarantee any particular number of leads, cost per lead, sales, revenue, return on ad spend or other result. Any forecasts or estimates we share are for planning purposes only.

8. Third-party advertising platforms

Campaigns run on third-party platforms that operate under their own terms and policies, which may change at any time. We are not responsible for platform decisions such as ad disapprovals, account restrictions or suspensions, outages, changes to algorithms or reporting, or billing errors made by a platform, although we will help you address them where we reasonably can.

9. Intellectual property

On full payment of the relevant fees, the intellectual property rights in the final deliverables created specifically for you (such as final ad creative, brand assets and landing page content) are [ASSIGNED TO YOU / LICENSED TO YOU — choose one].

We retain ownership of our pre-existing materials, know-how, methods, templates and tools, and grant you a licence to use any of them incorporated into the deliverables for your business. Unless agreed otherwise, we may reference the fact that we have worked with you, but will not publish your confidential information or results without your permission.

Review before publication: Confirm whether a portfolio / case-study right is wanted and how unused concepts and source files are treated.

10. Client-provided materials

You grant us a non-exclusive licence to use the logos, images, text, data and other materials you provide for the purpose of delivering the services. You confirm that you have the rights to these materials and that their use will not infringe the rights of any third party, and you will indemnify us against claims arising from materials or claims you supply or approve.

11. Confidentiality

Each party will keep the other's confidential information confidential and use it only for the purposes of the engagement, except where disclosure is required by law or the information is already public through no fault of the receiving party. This obligation continues after the engagement ends.

12. Data protection

Each party will comply with applicable data protection law. Where we process personal data on your behalf (for example, lead data), we will do so as your processor under the data processing terms in [DATA PROCESSING AGREEMENT / SCHEDULE]. Our handling of personal data as a controller is described in our Privacy Policy.

13. Suspension and termination

  • Either party may end an ongoing engagement by giving [NOTICE PERIOD — e.g. 30 days] written notice, subject to any minimum term stated in the Proposal: [MINIMUM TERM, IF ANY].
  • Either party may terminate immediately by written notice if the other commits a material breach that is not remedied within 14 days of being notified, or becomes insolvent.
  • We may suspend the services (including pausing campaigns) if invoices remain unpaid after notice, or if continuing would breach the law or a platform's policies.
  • On termination, you will pay for services provided and fees accrued up to the termination date, and we will hand back access to your accounts and deliver completed deliverables that have been paid for.

14. Limitation of liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

Subject to that:

  • we will not be liable for any loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss;
  • we will not be liable for Ad Spend incurred within budgets you approved, or for the acts or omissions of advertising platforms;
  • our total liability arising out of or in connection with an engagement is limited to [LIABILITY CAP — e.g. the management fees paid in the 12 months before the claim].

15. Use of this website

The content of this website is provided for general information only and does not constitute an offer or professional advice. We may change the website at any time. You must not misuse the website, for example by introducing malicious code or submitting spam through our forms.

16. General

These terms, together with the Proposal, form the entire agreement between us for the engagement. Changes must be agreed in writing. Neither party is liable for delays caused by events beyond its reasonable control. If any provision is found invalid, the rest remains in force. A person who is not a party has no right to enforce these terms.

17. Governing law and jurisdiction

These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Review before publication: Confirm jurisdiction if you contract with clients in Scotland, Northern Ireland or abroad.
